Terms of Service Privacy Policy AI & Voice Features Policy

This Privacy Policy ("Policy") describes how WorkSherpa Software Inc. ("WorkSherpa," "we," "our," or "us") collects, uses, discloses, and protects information in connection with the WorkSherpa website, applications, software, APIs, AI Features, and voice services (collectively, the "Services"). This Policy is incorporated into and should be read together with the WorkSherpa Terms of Service ("Terms"). Capitalized terms not defined here have the meanings given in the Terms.

This Policy applies to Customers, Authorized Users, Administrators, and visitors to our website. It does not apply to the end customers of our Customers, except as described in Section 2 with respect to Customer Data submitted through the Services.

1. Information We Collect

1.1 Information You Provide

  • Account information: name, business name, email address, phone number, and password.
  • Billing information: billing address and payment details, processed by our payment processor.
  • Customer Data: information you submit, upload, or generate through the Services, including business contacts, pricing, schedules, notes, and files.
  • Voice Data: audio recordings, voice notes, and transcriptions you or your Authorized Users submit through voice-enabled features.
  • Communications: messages you send to our support or sales teams.

1.2 Information Collected Automatically

  • Usage Data: feature usage, log files, device and browser information, IP address, and diagnostic data.
  • Cookies and similar technologies: used to operate the Services, remember preferences, and understand usage, as described in Section 6.

1.3 Information From Third Parties

If you connect a Third-Party Service (such as an email provider, accounting platform, calendar, or CRM) to WorkSherpa, we may receive information from that service as necessary to provide the requested integration, subject to your authorization and that provider's own terms.

We also obtain product, pricing, and availability information from third-party retailer websites, catalogs, APIs, or data feeds ("Retailer Data") to support AI-generated estimates and proposals. Retailer Data relates to products and pricing, not individuals, and is not personal information.

2. How We Use Information

We use the information we collect to:

  • Provide, operate, and maintain the Services, including AI Features;
  • Process transactions and manage billing;
  • Generate AI Output, including estimates, drafts, summaries, and transcriptions, based on the data you submit;
  • Communicate with you about your account, updates, and support requests;
  • Monitor, secure, and improve the Services, including diagnosing technical issues;
  • Detect, investigate, and prevent fraud, abuse, and security incidents; and
  • Comply with legal obligations and enforce our Terms.

We do not sell Customer Data or Voice Data. We do not use your identifiable Customer Data to train proprietary AI models for the benefit of other customers or the public without your prior consent, as described further in the AI & Voice Features Policy.

3. How We Share Information

We share information only as described below:

  • Service providers: vendors who host, process, or support the Services on our behalf, including cloud hosting, payment processing, customer support, and analytics providers, bound by confidentiality and data-protection obligations.
  • AI providers: trusted third-party AI providers that process data solely to generate AI Output and are contractually restricted from using it for their own independent purposes.
  • Third-Party Services you connect: information exchanged with integrations you authorize, subject to your control.
  • Legal and safety: where required by law, regulation, court order, or to protect the rights, property, or safety of WorkSherpa, our users, or the public.
  • Business transfers: in connection with a merger, acquisition, financing, or sale of assets, subject to standard confidentiality protections.

We do not sell personal information for monetary or other valuable consideration, and we do not share personal information with third parties for their own independent marketing purposes.

4. Data Retention

We retain information for as long as your account is active and as needed to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements. Upon termination of your Subscription, Customer Data will be made available for export for a reasonable period, after which it will be deleted or anonymized in accordance with our data retention practices, except where longer retention is required for legal, tax, or security purposes.

5. Data Security

We use administrative, technical, and physical safeguards designed to protect information against unauthorized access, disclosure, alteration, or destruction. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for safeguarding your account credentials and for the security practices of any device you use to access the Services.

6. Cookies and Tracking Technologies

We use cookies and similar technologies to operate the Services, keep you signed in, remember preferences, and understand how the Services are used. You can control cookies through your browser settings; disabling certain cookies may affect the functionality of the Services.

7. Your Privacy Rights

Depending on your location, you may have rights to access, correct, delete, or receive a copy of your personal information, and to object to or restrict certain processing. Where you submit personal information about your own customers or employees as Customer Data, requests from those individuals should generally be directed to you as the Customer, and we will assist you in responding as required by applicable law. To exercise your rights, contact us using the information in Section 11.

If you are located in the European Economic Area, United Kingdom, or Switzerland, you may also have the right to lodge a complaint with your local data protection authority. If you are a California resident, you may have rights under the California Consumer Privacy Act, including the right to know, delete, and opt out of certain sharing; we do not sell or share personal information as defined under that law.

8. International Data Transfers

We may process and store information in the United States and other countries. Where required, we use appropriate safeguards, such as standard contractual clauses, to protect information transferred internationally.

9. Children's Privacy

The Services are intended for business use by adults and are not directed to children. We do not knowingly collect personal information from individuals under 18 years of age. If you believe a child has provided us with personal information, please contact us so we can address it.

10. Changes to This Policy

We may update this Policy from time to time to reflect changes in our practices, technology, legal requirements, or the Services. When we make material changes, we will provide reasonable notice by email, through the application, or by posting the updated Policy with a new effective date. Your continued use of the Services after an update takes effect constitutes acceptance of the revised Policy.
